Overseas Nanjing Medical University Alumni Association Constitution (Bylaw)
Chapter 1. Name, Nature and purpose
Article I
Name: The English name of the Association shall be "Overseas Nanjing Medical University Alumni Association (ONMUAA)".
Article II
Nature: The Association shall be a non-political, non-profit civil organization which is formed voluntarily by the overseas alumni of Nanjing Medical University.
Article III
Purpose: The purpose of the ONMUAA is to promote the communication and information exchange among the alumni; to protect the due rights of the alumni; to establish and strengthen the connection between alumni and the home University; to creat and increase the worldwide reputation of Nanjing Medical University; and to help each other with career development.
Chapter 2. Qualification and right of membership
Article IV.
Membership: The Association shall consist of regular members and honorary members. Those who used to work or study at Nanjing Medical University shall be regular members. Honorary members shall be those who have close relationship with Nanjing Medical University or those who have contributed to the University.
Article V.
Duties of members: Members should admit and obey the Constitution; participate the activities of the Association; support and contribute to the development of the Association. Anyone should not make individual profit in the name of the Association.
Article VI.
Right of members: Only regular members in good standing shall have the right to vote or to be voted. Both regular members and honorary members shall enjoy all the service provided by the Association.
Chapter 3. Structure and administration
Article VII.
Governing Board: There shall be a Board responsible for the fulfillment of the obligations of the Association. The elected members of the Board shall be chosen by the membership of the Association according to departments(Schools), graduate years or some special units. In general, one member of the Board shall be produced among every ten members. In some countries or districts, the member of the Board shall be elected among the alumni for different departments (Schools) or graduate years. New Board members will be elected at 1/10 rate if more new members join the Association. Withdrawing of Board members will be filled from the same school if candidates avilable.
Article VIII.
Duties of the Board: The Board shall be the highest authority in the Association. The duties of the Board shall be to determine the policies for the good of the Association in accordance with the Constitution. The Board shall approve the Executive Committee elected, approve any resolution or proposals from the Committee, and fill any vacancies as may occur with more than half votes from the Board Members.
Article IX.
Amendment of the Constitution: Amendments may be initiated by individual members of the Board. Amendments must be approved by the over half majority of the Governing Board.
Article X.
The Chair, Co-Chairs and Secretory: There shall be one Chair, two Co Chairs and one Secretory in the Board. They shall be chosen by the members of the Board by voting for one year term. No elected Chair shall be eligible for re-election until one year after the expiration of a full term. To be a candidate of the Chair, he or she must present a written statement of willingness and a detailed administration proposal to the Governing Board.
Article XI.
Duties of Chair and Co-Chairs: It shall be the duty of the Chair to preside over the meeting of the Board. The Co-Chairs shall work closely with the Chair and shall be responsible for assisting the Chair for the work in the Board.
Article XII.
Executive Committee: There shall be an Executive Committee, responsible to the Board which shall have general charge of the affairs of the Association. The Executive Committee conducts the affairs of the Association in accordance with the policies determined by the Board. There shall be one President, two Vice Presidents and one Secretory in the Executive Committee which shall be elected by the members of the Board. The members of the Executive Committee, representing different depts or school years, shall be chosen by the President of the Executive Committee for a term of one year. Candidates for the President of the Executive Committee shall present a detailed administration proposal to the Board.
Article XIII.
Duties of the Executive Committee: The duties of the Executive Committee shall be as follows:
to plan the activities of the Association; to collect financial source; to establish the connection between alumni and the home University and other organizations; to be responsible for the publication of the Directory, Newsletters and establishing and maintaining the ONMUAA homepage on internet. to promote the information exchange among the alumni. to deal with any legal issues.
Article XIV.
Honorary president or consultants: Some respected and renown scholars can be invited as to be honorary president or consultants of the Association. All these nominations shall be approved by the Board.
Chapter 4. Activities
Article XV.
Activities: The main activities of the Association shall be information exchange, including small-scale and regional activities or meeting among local members. If it permits, annual meeting shall be taken place for the alumni.
Article XVI.
All activities shall be conducted in accordance to the laws and regulations of the country or the districts.
Chapter 5. Finance and fund administration
Article XVII.
Membership dues are free of charge, however, the Association shall welcome voluntary donations from members or legal units or organizations.
Article XVIII.
All funds and other assets of the Association shall be irrevocably assigned and controlled by the Executive Committee. There shall be a special bank account under the name of the ONMUAA to which all funds shall be put. Any access to the account shall be signed by two persons (the president and a treasurer). Important finance payments shall be decided by all the members of the Executive Committee. The Executive Committee shall give an annual report to the Board to describe the financial situation and plans. Treasurers shall keep all of the receipts of affairs in case it needs for verification.

Article XIX.
The Governing Board shall be responsible for the explanation of the Constitution.
